A Business Idea at Midnight? You Don't Have to Wait Until Monday to Start

It is 12:30 a.m.

You have been thinking about a business idea for weeks, and suddenly the name comes together.

You check the domain.

It is available.

You know what the company will do.

In parts of Canada, the answer is surprisingly close to yes.

For a named corporation in Ontario, Alberta or New Brunswick, one of the first documents you may need is a jurisdiction-specific NUANS® name search report.

And unlike a traditional office or registry counter, a NUANS report does not necessarily have to wait until normal business hours.

The first step: get the correct NUANS report

A NUANS report searches existing corporate names and trademarks for names that may be similar to your proposed business name.

The exact report matters.

You cannot simply purchase any NUANS report and use it everywhere. Ontario, Alberta and New Brunswick each have their own filing requirements.

For a named Ontario corporation, the Ontario government says you need an Ontario-biased or weighted NUANS name search report. A federal-biased NUANS report is not accepted for this purpose.

For an Alberta corporation using a chosen name, the Government of Alberta requires an Alberta NUANS report. The report reserves the proposed name for 90 days and must be submitted with the incorporation information.

For New Brunswick, Corporate Registry instructs applicants to obtain a New Brunswick-based NUANS search report from a private-sector name search firm. When filing electronically, the applicant is asked to attach the NUANS report.

So if inspiration arrives at midnight, obtaining the name-search document does not have to be the part that stops you.

Ontario: you really can incorporate online after midnight

Ontario comes closest to the fully digital scenario.

The Ontario Business Registry allows businesses to complete incorporation and many other corporate transactions online.

The province describes the registry as available 24 hours a day, 365 days a year.

For an Ontario business corporation, the government's published online service standard for incorporation is:

That creates a very different startup experience from the traditional one.

At midnight, you could:

1. Decide on your proposed corporate name.
2. Obtain the required Ontario NUANS report.
3. Prepare your incorporation information.
4. File through the Ontario Business Registry.
5. Receive the resulting electronic documents without waiting for a ServiceOntario counter to open.

Of course, your filing still has to satisfy the legal requirements, and choosing the right corporate structure is a separate decision.

But office hours themselves are no longer the barrier.

Alberta: the NUANS report can be ready, but incorporation works differently

Alberta is a little different.

A named Alberta corporation requires an Alberta NUANS report.

The Government of Alberta then instructs applicants to submit their incorporation package through a registry agent or authorized Alberta service provider.

The package includes items such as:

• Articles of Incorporation
• Notice of Address
• Notice of Directors
• Notice of Agent for Service
• the Alberta NUANS report
• identification
• payment

This means Alberta should not be described as having the same direct 24/7 government self-service incorporation process as Ontario.

However, the name-search step does not need to wait.

If your idea arrives late at night, you can obtain the required Alberta NUANS report and have the essential name-search document ready for the incorporation process.

Whether the corporation itself can be completed immediately after hours depends on the authorized service provider you use.

New Brunswick: file online at night, but allow time for review

New Brunswick also provides an online incorporation process.

Service New Brunswick's Corporate Registry has an Online Filing Centre with an option to:

For a proposed name, New Brunswick's official guidance tells applicants to obtain a New Brunswick-based NUANS search report from a private-sector name search firm.

During electronic filing, applicants are asked to attach the NUANS report.

There is one important difference from Ontario:

online does not necessarily mean instant approval.

Service New Brunswick currently lists the normal processing time for an online provincial incorporation as up to two business days.

So at 1:00 a.m. you can prepare the filing and use the electronic process, but you should not assume that your New Brunswick corporation will legally exist a few minutes later.

"Online" and "instant" are not the same thing

This distinction is worth remembering.

The digital advantage is not that every province approves every corporation instantly.

It is that you may no longer have to stop simply because it is outside office hours.

You can move from:

"I should look into this on Monday."

to:

"I already have the name-search report and the incorporation process is underway."

A midnight idea should not have to wait for a 9-to-5 name search

For many founders, incorporation starts at an inconvenient time.

It may happen after work.

On a Sunday.

During a holiday.

Or at 1:30 in the morning when an idea finally makes sense.
